1. Agreement to Terms

By accessing or using ShikshaNXT (the "Application", "Service"), operated by ShikshaNXT ("we", "us", "our"), you ("User", "you", "your") agree to be bound by these Terms of Service ("Terms"). These Terms apply to all visitors, users, and others who access or use the Service, including educational institutions ("Institutions"), teachers ("Teachers"), students ("Students"), and administrators ("Administrators"). If you do not agree to these Terms, do not use the Application. We may amend these Terms from time to time. Your continued use of the Application after such amendments constitutes your acceptance of the new Terms.

2. Description of Service

ShikshaNXT is an educational platform providing tools and services for learning management, communication, and collaboration for Students, Teachers, and Administrators within participating Institutions. Features may include dashboards, user management, tenant management, class and subject organization, assignments, homework, tests, AI-powered doubt resolution, attendance tracking, fee management, content sharing, communication tools, and analytics (collectively, the "Service"). The specific features available may depend on your role and the Institution's subscription plan.

3. User Accounts and Institutional Access

Access to ShikshaNXT is typically provided through an Institution that has subscribed to our Service. Your Institution will create and manage accounts for its authorized Teachers, Students, and Administrators. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify your Institution and us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, false, or misleading, or if you violate these Terms.

Institutions are responsible for: (a) obtaining necessary consents from parents/guardians for Students under the age of consent to use the Service; (b) ensuring the accuracy of information used to create accounts; (c) managing access rights and permissions for their Users; and (d) complying with all applicable laws, including data privacy laws like FERPA (if applicable in your jurisdiction).

4. User Conduct and Responsibilities

You agree to use the Service only for lawful, educational purposes and in accordance with these Terms and any applicable Institutional policies. You are responsible for all content and data that you upload, post, email, transmit, or otherwise make available via the Service ("User Content"). You agree not to use the Service to:

  • Upload, post, or transmit any User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;
  • Harm minors in any way, or solicit personal information from minors in a manner that violates applicable laws or institutional policies;
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity or your Institution;
  • Upload, post, or transmit any User Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (e.g., inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
  • Upload, post, or transmit any User Content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights ("Rights") of any party;
  • Upload, post, or transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in designated areas for such purposes (if any);
  • Transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;
  • Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service;
  • Violate any applicable local, state, national, or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, and any regulations having the force of law;
  • "Stalk" or otherwise harass another; or
  • Collect or store personal data about other users in connection with the prohibited conduct and activities set forth above.

You acknowledge that we may or may not pre-screen User Content, but that we and our designees shall have the right (but not the obligation) in their sole discretion to pre-screen, refuse, or remove any User Content that is available via the Service.

5. Intellectual Property Rights

5.1. Our Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of ShikshaNXT and its licensors. The Service is protected by copyright, trademark, and other laws of India and foreign countries. Our trademarks, logos, and trade dress may not be used in connection with any product or service without the prior written consent of ShikshaNXT.

5.2. User Content

You (or your Institution, as applicable) retain all ownership rights to your User Content. However, by submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content solely in connection with providing and improving the Service, and as permitted by our Privacy Policy and any agreement with your Institution. This license is necessary for us to operate the Service (e.g., to store your files, display your assignments, and share content with authorized users).

We do not claim ownership of User Content. Your Institution's policies may also govern your rights to User Content.

5.3. Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us the right to use such Feedback for any purpose, including to improve the Service, without any obligation or compensation to you.

6. Subscription Plans and Payments

The use of ShikshaNXT by Institutions is subject to a subscription agreement between the Institution and ShikshaNXT. This agreement will outline the specific subscription term, fees, payment terms, and features included in the plan. Institutions are responsible for timely payment of all applicable fees. We may suspend or terminate an Institution's access (and consequently its Users' access) to fee-based parts of the Service if payment is late and/or the offered payment method cannot be processed. All fees are non-refundable except as required by law or as otherwise stated in the subscription agreement. Individual Users (Teachers, Students) typically do not pay fees directly to us unless otherwise specified.

7. Termination

7.1. Termination by Us

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms or the terms of the Institution's subscription agreement. We may also terminate or suspend an Institution's access if they breach their subscription agreement.

7.2. Termination by You/Your Institution

If you wish to terminate your individual account, you should contact your Institution. An Institution may terminate its subscription according to the terms of its agreement with us. Upon termination, your right to use the Service will immediately cease. Data retention upon termination will be governed by our Privacy Policy and the agreement with the respective Institution.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

SHIKSHANXT, ITS SUBSIDIARIES, AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURELY, OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

9. Limitation of Liability

IN NO EVENT SHALL SHIKSHANXT, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS SHALL BE LIMITED TO THE GREATER OF (A) THE AMOUNT PAID BY YOUR INSTITUTION FOR THE SERVICE ATTRIBUTABLE TO YOUR USE DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD) IF NO SUCH FEES HAVE BEEN PAID.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Karnataka, India, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect, which may include notifying your Institution or posting a notice on our website. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

12. Use by Minors

If you are a Student under the age of 13 (or the applicable age of digital consent in your jurisdiction), you may only use ShikshaNXT with the consent of your parent or legal guardian, typically obtained through your Institution. We rely on the Institution to obtain and verify this consent.
